Study Order Form.

SOW SN-SOW-[ID] Executed [YYYY-MM-DD] Effective 2026-10-13
What this is. The Study Order Form (SOW) governing a single SweetNote study. The SOW is auto-generated at commercial commitment (credit-card authorization or SOW countersignature) from the campaign configuration in the SweetNote portal. It references and incorporates the Master Services Agreement and Data Processing Agreement; if Outcome Attribution is enabled, it also incorporates the DPA Outcome Attribution Schedule, and if recipient-level export is enabled, the DPA Recipient-Level Export Schedule. Same paper for every brand, not redlined.

1. Parties

This Study Order Form (the “SOW”) is entered into between The Sweet Note, Inc., a Delaware corporation operating the SweetNote B2B platform (“SweetNote”), and [Customer name], a [entity type] (“Customer”). This SOW is governed by and incorporated into the Master Services Agreement (MSA) and Data Processing Agreement (DPA) between the parties. Capitalized terms not defined herein have the meaning set forth in the MSA or DPA.

Recipient-Level Export
Enabled, pseudonymous token-keyed export of Customer's own engagement data (per DPA Recipient-Level Export Schedule). No direct identifiers; timing and watch-depth are coarsened to buckets.

Precision commitment
Per MSA §4, SweetNote commits to a maximum half-width of the 95% confidence interval of ±[pp] percentage points on the pre-declared comparison endpoint [endpoint]. If the settled study report does not reach that target, the methodology premium is credited; the base fee and the per-recipient charge are unaffected. The credit is void where a Customer-side change after activation causes the shortfall. This endpoint reads on the base of recipients who scanned, not on the full randomized base, so the target is calculated on an assumed scan rate of [rate]%. The commitment is conditional on the realized scan rate meeting or exceeding that figure.

3. Price

Per-study formula: $500 base + per-recipient charge + methodology premium + Outcome Attribution add-on (when enabled). The per-recipient charge is computed per the published graduated rate bands — each band's rate applies only to the recipients within that band. Same number for every Customer at the same study size, and a larger study never costs less than a smaller one.

The published rate bands, incorporated here: recipients 1–499 at $4.00 each; 500–1,999 at $2.50; 2,000–4,999 at $1.50; 5,000–19,999 at $0.90; 20,000–99,999 at $0.60; 100,000 and above at $0.45. Each band's subtotal is exact to the cent and the per-recipient charge is rounded to the nearest whole dollar (ties to even). The effective rate shown in the table below is that charge divided by the number of recipients, for information only: the charge, not the rate, is what is billed.

Line itemAmount
Base fee$500
Per-recipient charge (graduated rate bands; ≈ $[rate] effective × [n])$[subtotal]

Fees are billed in U.S. dollars and exclusive of taxes, withholdings, and currency-conversion fees, which are Customer’s responsibility. Applicable sales tax, if any, is added where required.

6. Incorporated documents

This SOW is governed by and incorporates by reference, in their entirety:

The hashes above are SHA-256 fingerprints of the canonical HTML at acceptance time; the effective date identifies which template text was in force. In any conflict between this SOW and an incorporated document, MSA Section 13.6 governs: this SOW controls on the study-specific terms for this study (pricing, scope, schedule, deliverables); the incorporated documents control on everything else, with the DPA and its Schedules controlling on data-protection matters.

7. Term

This SOW takes effect on the date of commercial commitment shown in the metadata at the top of this document and continues through the close of the engagement window. SweetNote will preserve dashboard access for the campaign term (the engagement window plus the 24-month dashboard-access tail defined in MSA § 1.1) and will preserve aggregate engagement data per the retention schedule in DPA § 13.

8. Refund and cancellation

Pre-activation cancellation = refund of the study fee less a flat 3% processing fee (even after QR codes have been generated and Customer has downloaded the variable-data CSV; those codes do not resolve before activation and are retired on refund). No processing fee is deducted where the cancellation arises from SweetNote’s breach, the warranty remedy, an IP claim, a change of control, force majeure, the uptime-termination right, a methodology review not returned within the published turnaround, a subprocessor objection, a Public Entity appropriation failure, or a cancellation by SweetNote. MSA Section 4. Post-activation cancellation is governed by the refund policy; reveals begin resolving to recipients on the activation date (once the study is paid and its video is servable), after which fees are non-refundable except as set out in MSA Sections 4, 5, 8, 10.3, 13.12, 13.13 and Exhibit A.

Randomized-methodology attestations

This study scopes a randomized methodology (Gift A/B or Gift Lift) whose causal validity depends on Customer holding execution identical across variations and honoring the per-recipient variation assignment SweetNote records. Under MSA §8.4, Customer made the two attestations below at scoping. Each is a contractual representation and warranty under the MSA, not solely a user-interface acknowledgment, and binds Customer for the entirety of the engagement window. Breach triggers Customer's indemnification obligations under MSA §10.4 and SweetNote's termination rights under MSA §5.

(a) Execution-identical attestation

[Execution-identical attestation, as accepted by Customer at scoping: every element of campaign execution other than the randomized variable is held identical across all variations.]

Accepted [YYYY-MM-DD HH:MM UTC].

(b) Randomization-honor attestation

[Randomization-honor attestation, as accepted by Customer at scoping: the per-recipient variation assignment SweetNote exports is respected at fulfillment, with no substitution, re-randomization, or post-hoc rebalancing.]

Accepted [YYYY-MM-DD HH:MM UTC].

9. Execution

For studies of any size, Customer accepts this SOW in-portal at checkout via clickwrap (fully enforceable under the federal E-SIGN Act and state UETA). SweetNote's counter-signature is applied automatically and a counter-signed PDF copy is generated and stored in the Customer’s portal at Settings → Contracts typically within minutes of acceptance. A traditional dual counter-signature is available on request for Customers whose procurement process requires it, on the same published terms.

Execution occurs before the first QR code is generated; no QR generation, no reveal-page provisioning, and no recipient activation can occur until this SOW is in force. A methodology / scope review before the study goes live is never a gate on execution: it is opt-in below $10,000, and included by default (and declinable) at $10,000 and above and on every Gift Lift study; whether taken or declined, it does not change how this SOW is executed.
